| ARTICLE I. | Name |
| Section 1. | The name of this organization shall be the Owens River Democratic Club. |
| ARTICLE II. | Purposes |
| Section 1. | The purposes of the club shall be : |
| | A. to unite all political effort in Inyo County to elect Democrats to public office at all levels. |
| | B. to have representation in the policy making of our own party. |
| | C. to provide information on all party candidates and policies. |
| | D. to provide a Democratic identity. |
| | E. to promote participation in the electoral process. |
| | F. to consider support of selected issues under the constitutional rights of referendum and initiative.

| ARTICLE III. | Membership |
| Section 1. | Qualifications for membership shall include: |
| | A. registered Democrats who support the purposes and policies of the Democratic Party. |
| | B. registered Democrats paying the established annual club dues. |
| Section 2. | The status of "Sponsor" will be recognized as those who donate money or materials, but do not qualify for membership, or do not wish to participate in club meetings. Sponsors shall have no voting rights in the Owens River Democratic Club.

| Section 3. | Forfeiture of membership may be incurred by the following: |
| | A. A member may resign by giving notice in writing to the secretary, who shall read it to the Executive Board.
|
| | B. failure to pay dues within ninety (90) days after notice shall terminate membership. |
| | C. any member who publicly supports a candidate of another party in a partisan election shall be requested to submit his resignation.
|
| ARTICLE IV. | Executive Board |
| Section 1. | Number, manner of selection, and terms of office. |
| | A. The Board shall consist of the five (5) officers elected by the general membership. |
| | B. Terms of office shall be for two (2) years and
will expire at the conclusion of business at the first regular meeting in July of odd-numbered years. |
| Section 2. | Vacancies: |
| | Any vacancy occurring on the Board shall be filled by a majority vote of Ihe general membership attending the meeting at which the vacancy is reported.

| Section 3. | Powers and duties: |
| | A. The Executive Board shall have full charge of the property and business of the club with full power and authority to manage, conduct and coordinate same, subject to the instructions of the general membership.

| | B. The. Executive Board shall coordinate activities in the following areas: Finance, Voter Registration, Legislation, Publicity, Program, Membership, and any area of activity which is within the purpose of the club .
|
| Section 4. | Meetings: |
| | The Executive Board shall meet a minimum of once a month. Meetings may be held in conjunction with the genera! membership meeting. Additional meetings may be called by the President, or be requested by Executive Board members.
|
| Section 5. | Quorum: |
| | A majority of the Executive Board members shall constitute a quorum. |
| ARTICLE V. | Enumeration and Election of Officers |
Section 1. | The officers of the Owens River Democratic Cluib shall be a President, Vice-President, Secretary, Treasurer, and Parliamentarian. The membership shaH elect the officers. |
| Section 2. | President: |
| | The President is responsible for scheduling and conducting regular meetings, for appointing such committees and committee chairpersons as may be needed, and is the club's official spokesperson |
| Section 3. | Vice President: |
| | The Vice President presides in place of the President, should the President be absent, and is the program chairperson for the club. |
| Section 4. | Secretary

| | The Secretary shall keep minutes of all meetings of the club and of the Executive Board,
shall issue all notices, and shall sign, with the Treasurer, all contracts and other instruments
when so aurhorized by the Executive Board, and shall perform otherduties incidental to the office. |
| Section 5. | Treasurer: |
| | The Treasurer shall collect and receive all moneys due, make disbursements as authorized by the Executive Board, and shall be cosigner for checks with the President and/or secretary.The Treasurer shall present statements of the club's financial condition to the Executive Board and the general membership regular meetings.

| Section 6. | Parliamentarian |
| | The Parliamentarian shall rule, upon request of the meeting chair, on matters of procedure in conducting any meeting. |
| ARTICLE VI. | Financial |
| Section l. | Dues shall be established at fifteen (15) dollars per year for regular membership, ten (10) dollars for those sixty (60) years or older.

| Section 2 | Dues shall be due and payable for all members as of July first of each year, except that any new memher whose initial dues payment was
between March 1st and June 30th may elect to forego dues payment for the subsequent year. |
| Section 3. | Those persons seeking "Sponsor" status shall contribute cash, material, or services of at least fifty ($50) dollars in value each year to qualify for recognition as "Sponsor".

| ARTICLE VII. | General Meetings |
| Section 1 | General membership meetings shall be held monthly, or as called for by the President or the Executive Board. |
| Section 2. | Special meetings may be called by one-third of the paid membership upon written request. |
| Section 3. | A majority of the Executive Board shall constitute a quorum required to conduct business at meetings of the Executive Board or the general membership. |
| Section 4. | Officers and members shall have equal votes at general membership meetings. |
| ARTICLE VIII. | Nominations and Elections |
| Section 1. | The President shall appoint a Nominating Committee at the April general membership meeting of each odd-numbered year.

| Section 2. | The Nominating Committee shall prepare a slate of ca.ididates willing to serve as officers. Candidates' names shall be presented at the May meeting, at which time nominations from the floor shall be accepted |
| Section 3 | Members whose dues are paid are eligible to vote for officers at the June general membership meeting.
|
| Section 4. | The candidates polling the highest number of votes shall fill the vacant Executive Board positions.
|
| ARTICLE IX. | Endorsing Policy |
| | This club may endorse candidates for local non-partisan elections.
|
| ARTICLE X. | Delegates |
| | Delegates to Democratic Party Assemblages shall be selected by the membership at a regular meeting before the date on which the names of the delegates must be submitted to the credentials committee of the assemblage.

| ARTICLE XI. | Member Action |
| Members may not act in the name of the Owens River Democratic Club unless authorized to do so by the Executive Board.
|
| ARTICLE XII. | Parliamentary Authority |
| | Roberts Rules of Order shall govern all meetings. |
| ARTICLE XIII. | Amendments |
| Section 1. | Amendments to these By-Laws shall be by a two-thirds (2/3rds) vole of the members present and voting at the meeting, provided the amendments were submitted to the membership in writing at least one (1) month in advance of the meeting.

| Section 2. | These By-Laws are not intended to conflict with the By-Laws of the California Democratic Party, and should there he a conflict, the California Democratic Party By-Laws shall prevail.
